1. INTRODUCTION AND ACCEPTANCE OF TERMS

Welcome to Daleel (دليل), an AI-powered real estate intelligence platform operated by Realize Capital Properties L.L.C. ("Company," "we," "us," or "our"), a company registered in the United Arab Emirates with Trade License Number 1584208 and RERA Registration Number 1584208.

By accessing, browsing, or using the Daleel platform, including our website, mobile applications, AI chatbot interface, and any related services (collectively, the "Platform" or "Services"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), together with our Privacy Policy, which is incorporated herein by reference.

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE PLATFORM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE PLATFORM.

Daleel is an artificial intelligence chatbot that provides real estate market intelligence, analysis, and information. The Platform aggregates data from various third-party sources and uses AI technology to process and present this information. Your use of the Platform constitutes your acknowledgment that Daleel is an AI system and that all responses generated are produced by artificial intelligence, not human agents.

2. DEFINITIONS

For the purposes of these Terms, the following definitions shall apply:

"Account" means a registered user account on the Platform.

"AI-Generated Content" means any text, analysis, data visualization, recommendation, or other output produced by the Platform's artificial intelligence systems.

"Content" means all text, images, data, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, code, and other materials made available through the Platform.

"Daleel" or "Platform" means the AI-powered real estate intelligence platform operated by the Company, including all websites, applications, and services.

"DLD" means the Dubai Land Department.

"Ejari" means the official rental contract registration system administered by the Dubai Land Department.

"REES" means the Real Estate Electronic Services program operated by the Dubai Land Department.

"RERA" means the Real Estate Regulatory Agency of Dubai.

"Services" means all features, functionality, and services provided through the Platform.

"Subscription" means a paid plan providing enhanced access to Platform features.

"Third-Party Content" means any data, listings, information, or materials originating from sources other than the Company, including but not limited to Property Finder, Bayut, DLD, and Ejari.

"User" or "you" means any individual or entity that accesses or uses the Platform.

"User Content" means any content, queries, feedback, or materials submitted by Users through the Platform.

3. DESCRIPTION OF SERVICES

3.1 Platform Overview

Daleel is an AI-native real estate intelligence platform that provides Users with market analysis, property search capabilities, investment insights, and related real estate information for the United Arab Emirates market, with a primary focus on Dubai.

3.2 Services Provided

The Platform offers the following services: real-time market analysis and property search functionality; investment insights and transaction history analysis based on publicly available data; rental market intelligence derived from Ejari registration data; area comparisons by price, rental yield, and market trends; and developer and project information for off-plan investments.

3.3 Data Sources

The Platform aggregates and processes data from multiple sources, including: over 874,000 active property listings aggregated from Bayut and Property Finder; more than 1.6 million Dubai Land Department sales transactions; over 8.4 million rental contracts from the Ejari system; and Dubai Land Department REES program verified government transaction data.

3.4 Platform Limitations

IMPORTANT: Daleel is an information aggregation and intelligence platform only. The Platform is NOT a real estate brokerage, agency, or intermediary. The Company does NOT directly connect Users with real estate agents, brokers, developers, or sellers. The Company does NOT facilitate real estate transactions. The Company does NOT provide real estate brokerage services. Listing data displayed on the Platform is aggregated from third-party sources where brokers and agents have independently published their listings.

4. ACCOUNT REGISTRATION AND SECURITY

4.1 Account Creation

To access certain features of the Platform, you must create an Account. During registration, you agree to provide accurate, current, and complete information as requested in the registration form and to maintain and promptly update such information to keep it accurate, current, and complete.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to immediately notify the Company of any unauthorized use of your Account or any other breach of security. The Company shall not be liable for any loss or damage arising from your failure to protect your Account credentials.

4.3 Account Restrictions

You may not create an Account using false or misleading information; create multiple Accounts for deceptive purposes; share your Account credentials with third parties; or transfer or assign your Account without the Company's prior written consent.

4.4 Account Termination

You may terminate your Account at any time by contacting us at contact@realize.capital. The Company reserves the right to suspend or terminate your Account for violation of these Terms, suspicious or fraudulent activity, extended periods of inactivity, or as required by law.

5. SUBSCRIPTION TERMS AND PAYMENT

5.1 Subscription Tiers

The Platform offers the following subscription tiers: Free tier providing basic access at no cost; Pro tier at 550 AED per month or 5,500 AED per year; and Enterprise tier with custom pricing based on organizational needs.

5.2 Payment Terms

All subscription fees are payable in advance. Payment must be made through the payment methods accepted on the Platform. All fees are quoted in UAE Dirhams (AED) unless otherwise specified.

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize the Company to charge your designated payment method for renewal fees.

5.4 Cancellation

You may cancel your subscription at any time through your Account settings or by contacting support. Cancellation will be effective at the end of the current billing period. No refunds will be provided for partial billing periods.

5.5 Refund Policy

Subscription fees are generally non-refundable. However, if you experience significant technical issues preventing use of the Platform, you may request a refund within 14 days of payment by contacting contact@realize.capital. Refund requests are evaluated on a case-by-case basis.

5.6 Price Changes

The Company reserves the right to modify subscription pricing at any time. You will be notified of any price changes at least 30 days before they take effect. Continued use of the Platform after price changes constitutes acceptance of the new pricing.

6. USER CONDUCT AND ACCEPTABLE USE

6.1 Permitted Use

You may use the Platform for personal and internal business purposes related to real estate research, market analysis, and investment evaluation, subject to these Terms and any applicable subscription limitations.

6.2 Prohibited Activities

You agree NOT to engage in any of the following prohibited activities:

Misuse of AI Chatbot: Attempting to manipulate, deceive, or exploit the AI system; using the Platform to generate misleading or false information; attempting to extract training data or model parameters; or using automated systems to interact with the chatbot except as expressly permitted.

Data Scraping and Unauthorized Access: Using automated tools, bots, scrapers, or other means to collect data from the Platform without authorization; circumventing any access controls, rate limits, or security measures; accessing non-public areas of the Platform; or reverse engineering the Platform's technology.

Redistribution and Commercial Misuse: Copying, reproducing, or redistributing Platform data or content without authorization; reselling or sublicensing access to the Platform; using the Platform to create competing products or services; or systematically downloading content for external use.

Illegal and Harmful Activities: Using the Platform for any illegal purpose or in violation of any applicable law; transmitting malware, viruses, or harmful code; harassing, threatening, or abusing other Users or Company personnel; impersonating any person or entity; or posting defamatory, obscene, or offensive content.

Interference with Operations: Interfering with or disrupting the Platform's functionality; attempting to probe, scan, or test system vulnerabilities; placing unreasonable load on the Platform's infrastructure; or engaging in any activity that could damage, disable, or impair the Platform.

7. INTELLECTUAL PROPERTY RIGHTS

7.1 Company's Intellectual Property

The Daleel name, logo, and trademark are registered trademarks of Realize Capital Properties L.L.C. in the United Arab Emirates. The Platform, including its design, features, functionality, and all associated intellectual property, is owned by the Company or its licensors. All rights not expressly granted in these Terms are reserved.

7.2 User License

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes. This license does not include the right to copy, modify, distribute, sell, or lease any part of the Platform; reverse engineer or attempt to extract the source code of the Platform; use the Platform's trademarks without prior written consent; or remove or alter any proprietary notices on the Platform.

7.3 User Content

You retain ownership of any User Content you submit to the Platform. However, by submitting User Content, you grant the Company a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, copy, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with operating and improving the Platform.

7.4 Third-Party Content

The Platform displays content originating from third-party sources, including property listings from Property Finder and Bayut. Such Third-Party Content remains the property of its respective owners. The Company displays Third-Party Content under the principle of data aggregation for informational purposes and makes no claim of ownership over such content.

8. DATA AGGREGATION DISCLAIMERS

IMPORTANT NOTICE REGARDING AGGREGATED DATA:

The Platform aggregates property listings and real estate data from multiple third-party sources, including Property Finder, Bayut, and other publicly accessible platforms. Users acknowledge and agree that:

Source of Listing Data: All property listings displayed on the Platform originate from third-party platforms where real estate brokers, agents, and developers have independently posted their listings. The Company does not create or originate listing content.

Informational Purposes Only: All aggregated data is displayed for informational and research purposes only. The Platform is designed to help Users understand market trends and discover available properties, not to replace direct engagement with real estate professionals.

No Warranty of Accuracy: The Company makes no representations or warranties regarding the accuracy, completeness, timeliness, or reliability of any Third-Party Content. Listing details, prices, availability, and other information may be outdated, incorrect, or incomplete.

Notice to Brokers, Agents, and Developers: Real estate professionals who post listings on publicly accessible platforms should be aware that such data may be aggregated by third-party services. If you wish to restrict the aggregation of your proprietary information, you should implement appropriate technical measures on the original posting platforms or refrain from posting information you wish to keep confidential.

Data Updates: Aggregated data is updated periodically but may not reflect real-time changes. Users should verify all information directly with the listing source before making any decisions.

No Endorsement: The display of any listing or Third-Party Content does not constitute an endorsement, recommendation, or verification by the Company.

9. AI-GENERATED CONTENT DISCLAIMERS

CRITICAL NOTICE REGARDING ARTIFICIAL INTELLIGENCE:

Daleel utilizes advanced artificial intelligence technology, including large language models, to process information and generate responses. Users must understand and acknowledge the following:

AI Nature: All responses, analyses, recommendations, and other outputs provided through the Platform are generated entirely by artificial intelligence systems. No human reviews or verifies individual AI responses before they are displayed to Users.

Accuracy Limitations: AI systems may produce inaccurate, incomplete, outdated, or misleading information. The AI may "hallucinate" facts, misinterpret queries, or provide responses that appear authoritative but are incorrect.

No Professional Advice: AI-Generated Content does NOT constitute and should NOT be relied upon as legal advice, financial advice, investment advice, tax advice, real estate advice, or any other form of professional advice.

Verification Required: Users MUST independently verify all information received from the Platform before making any decisions. This includes, but is not limited to, verifying property details with listing agents, confirming prices with sellers, validating transaction data with official sources, and checking regulatory requirements with appropriate authorities.

No Guarantee: The Company makes no guarantee regarding the accuracy, reliability, completeness, or timeliness of AI-Generated Content.

User Responsibility: Any actions taken based on AI-Generated Content are at the User's sole risk and discretion. The Company shall not be liable for any decisions made or actions taken based on AI-Generated Content.

12. LIMITATION OF LIABILITY

12.1 Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED UAE DIRHAMS (100 AED), WHICHEVER IS GREATER.

12.2 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: loss of profits, revenue, or business opportunities; loss of data or goodwill; cost of procurement of substitute services; investment losses or financial losses; property transaction losses; losses arising from reliance on AI-Generated Content; or any other intangible losses, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.3 Specific Exclusions

Without limiting the foregoing, the Company shall have no liability for: the accuracy, completeness, or reliability of Third-Party Content; the accuracy or reliability of AI-Generated Content; investment decisions made based on Platform information; real estate transactions entered into by Users; data delays, interruptions, or unavailability; failures of third-party service providers; unauthorized access to User accounts resulting from User negligence; or any force majeure events.

13. REAL ESTATE INFORMATION DISCLAIMER

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or relating to:

Your violation of these Terms or any applicable law or regulation; your use or misuse of the Platform; your User Content; any transaction or interaction between you and any third party (including real estate agents, brokers, developers, or sellers); any reliance you place on AI-Generated Content or Third-Party Content; your negligent or wrongful conduct; or any claim by a third party arising from your use of the Platform.

The Company reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate fully with the Company in asserting any available defenses.

14. THIRD-PARTY SERVICES AND LINKS

The Platform may contain links to third-party websites, services, or resources. The Company does not endorse and is not responsible for any third-party content, products, or services.

The Platform utilizes various third-party service providers, including Windmill.dev for workflow automation, Anthropic for AI services, PlanetScale for database services, AWS for cloud infrastructure, Cloudflare for security and CDN services, and Netcup for server hosting.

Your use of any third-party services is at your own risk and subject to such third parties' terms and conditions. The Company is not liable for any actions, omissions, or failures of third-party service providers.

15. SERVICE AVAILABILITY AND MODIFICATIONS

The Company strives to maintain Platform availability but does not guarantee uninterrupted access. The Platform may be temporarily unavailable due to scheduled maintenance, system updates, technical issues, or circumstances beyond the Company's control.

The Company reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice. The Company shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform.

Features, data sources, and functionality may change over time as the Platform evolves. The Company will make reasonable efforts to notify Users of significant changes.

16. SERVICE AVAILABILITY AND MODIFICATIONS

16.1 Termination by User

You may terminate your Account and these Terms at any time by contacting us at contact@realize.capital and following the account closure procedures.

16.2 Termination by Company

The Company may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms, engage in fraudulent or illegal activity, fail to pay subscription fees when due, or engage in conduct harmful to the Company, its Users, or third parties.

16.3 Effect of Termination

Upon termination: your right to access the Platform will cease immediately; any outstanding payment obligations will remain due; the Company may delete your Account data in accordance with its data retention policies; and provisions of these Terms that by their nature should survive termination shall survive.

16.4 Survival

The following sections shall survive termination: Intellectual Property Rights, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and General Provisions.

17. DISPUTE RESOLUTION

17.1 Governing Law

These Terms and any dispute arising from or relating to these Terms or your use of the Platform shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.

17.2 Jurisdiction

Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of Dubai, United Arab Emirates. You hereby consent to the personal jurisdiction and venue of such courts.

17.3 Informal Resolution

Before initiating any formal legal action, you agree to contact us at contact@realize.capital and attempt to resolve any dispute informally for at least thirty (30) days.

17.4 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

18. GENERAL PROVISIONS

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and the Company regarding the Platform and supersede all prior agreements and understandings.

18.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18.3 Waiver

The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by the Company.

18.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without the Company's prior written consent. The Company may assign these Terms without restriction.

18.5 Force Majeure

The Company shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, or failures of telecommunications or internet services.

18.6 Notices

Notices to you may be sent via email to the address associated with your Account or posted on the Platform. Notices to the Company should be sent to contact@realize.capital or to our registered address.

Your continued use of the Platform after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Platform.
